Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Sim Tec MD Inc.(“we,” “us,” or “our”) governing your access to and use of the Forge Marketing Platformand its associated field-operations applications, including any white-labelled versions (collectively, the “Service”). By accessing or using the Service, or by connecting a third-party account such as QuickBooks Online, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility & accounts
- The Service is for business use by authorized representatives of an organization. You must be at least the age of majority in your jurisdiction and authorized to bind your organization.
- You are responsible for the accuracy of the information in your account and for maintaining the confidentiality of your credentials.
- You are responsible for all activity that occurs under your account and for the acts of the users you invite.
2. Licence to use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes. We reserve all rights not expressly granted.
3. Acceptable use
You agree not to:
- use the Service in violation of any law or third-party rights;
- reverse engineer, decompile, or attempt to derive source code, except as permitted by law;
- interfere with or disrupt the integrity or performance of the Service;
- access the Service to build a competing product, or resell it without authorization;
- upload malicious code or attempt unauthorized access to any system or data.
4. Third-party services (including QuickBooks Online)
- The Service integrates with third-party services, including Intuit QuickBooks Online. Your use of those services is governed by their own terms and privacy policies, and you are responsible for your accounts with them.
- By connecting QuickBooks Online, you authorize us to access and exchange data with your QuickBooks company as described in our Privacy Policy, solely to provide the features you enable.
- We are not responsible for the availability, accuracy, or actions of third-party services, and we may adapt the integration if a provider changes or discontinues its API.
5. Your data
- As between you and us, you retain ownership of the data you and your users submit to the Service (“Customer Data”), including data synced from QuickBooks Online.
- You grant us the rights necessary to host, process, and transmit Customer Data to operate and support the Service.
- Our handling of personal information is described in our Privacy Policy.
6. Fees
Fees, if any, are as set out in your subscription or order with us. Unless stated otherwise, fees are non-refundable and exclusive of applicable taxes. We may change fees on prospective notice.
7. Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by us or our licensors and is protected by intellectual-property laws. These Terms do not transfer any ownership of the Service to you.
8. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data synced from third parties will be complete or accurate.
9. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or CAD $100 if you paid nothing.
10. Indemnification
You will indemnify and hold us harmless from claims, damages, and expenses arising out of your Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
11. Term & termination
- These Terms apply while you use the Service.
- You may stop using the Service and disconnect integrations at any time.
- We may suspend or terminate access for breach of these Terms or as required by law. Upon termination, your right to use the Service ends; sections that by their nature should survive will survive.
12. Governing law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Alberta will have exclusive jurisdiction, subject to any non-waivable rights under applicable law.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date, and continued use of the Service after changes take effect constitutes acceptance.
